Terms of Service

These terms govern your access to and use of the VisionAI Platform. Please read them carefully before using our services.

1 Acceptance of Terms

By accessing, browsing, or using the VisionAI Platform (the "Service"), operated by VisionAI Platform GmbH ("VisionAI," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" refer to that organization.

If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the revised Terms.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. By using VisionAI, you confirm that you meet this age requirement. We do not knowingly provide the Service to individuals under this threshold, and any account found to be operated by someone below the minimum age will be terminated immediately.

These Terms apply to all visitors, registered users, and any other persons who access or use the Service, including those who contribute content, data, or other materials through the platform.

2 Description of Services

VisionAI provides an artificial intelligence platform designed for large-scale data analysis and business process automation. Our core services include:

  • Pattern Recognition and Data Mining: Automated discovery of trends, anomalies, and correlations within structured and unstructured datasets using machine learning algorithms.
  • Process Automation: Intelligent workflow automation that learns from operational data to replace repetitive manual tasks, complete with configurable approval gates and audit trails.
  • Predictive Analytics: Forecasting models trained on your historical data to produce actionable predictions for revenue, demand, customer churn, and resource allocation.
  • Natural Language Processing (NLP): Extraction of meaning from documents, emails, support tickets, and social media through sentiment analysis, entity recognition, topic classification, and automated summarization.
  • API and Integration Hub: RESTful API access and pre-built connectors enabling integration with external databases, cloud warehouses, CRM systems, and business intelligence tools.
  • Dashboard and Reporting: Interactive, customizable analytics dashboards with scheduled report delivery and real-time alert systems.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the platform. VisionAI shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Specific features, storage limits, processing capacity, and support levels depend on your selected subscription plan, the details of which are outlined on our Pricing page.

3 Account Registration

To access certain features of the Service, you must register for an account. During registration, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password associated with your account and for all activities that occur under your credentials.

You agree to immediately notify VisionAI of any unauthorized use of your account or any other breach of security. VisionAI will not be liable for any loss or damage arising from your failure to protect your account credentials. You may not use another person's account without their permission or share your login credentials with unauthorized parties.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion if we suspect fraudulent activity, misrepresentation of identity, or violations of these Terms. For organizational accounts, the account administrator is responsible for managing user access and ensuring that all individuals with access comply with these Terms.

4 User Obligations

By using the Service, you agree to use it solely for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. Specifically, you agree not to:

  • Use the Service for any illegal or unauthorized purpose, including but not limited to violations of data protection, privacy, or intellectual property laws.
  • Upload, transmit, or store data that is unlawful, defamatory, obscene, threatening, invasive of privacy, or otherwise objectionable.
  • Attempt to gain unauthorized access to other users' accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service, including through the introduction of viruses, worms, trojan horses, or other malicious code.
  • Use any automated system, including bots, crawlers, or scrapers, to access the Service for any purpose without our express written consent, except as permitted by our published API documentation.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any algorithms used within the platform.
  • Resell, sublicense, or provide access to the Service to third parties without a valid reseller agreement with VisionAI.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Service to process data in violation of any applicable data protection regulation, including the General Data Protection Regulation (GDPR) and any national implementing laws.

Violation of these obligations may result in immediate suspension or termination of your account, without refund and without prior notice. VisionAI reserves the right to investigate suspected violations and cooperate with law enforcement authorities in prosecuting users who are involved in such violations.

5 Intellectual Property

The Service, including all content, features, functionality, software, algorithms, machine learning models, user interface designs, graphics, logos, trademarks, and documentation, is and shall remain the exclusive property of VisionAI Platform GmbH and its licensors. These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of Germany, the European Union, and applicable international jurisdictions.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include the right to:

  • Modify, adapt, translate, or create derivative works based on the Service or any part thereof.
  • Copy, distribute, publicly display, or publicly perform any content from the Service except as expressly permitted within the platform's intended functionality (such as exporting your own reports).
  • Use the VisionAI name, logo, or branding in any manner that suggests endorsement or affiliation without prior written authorization.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices displayed on or within the Service.

Any feedback, suggestions, ideas, or improvements you provide to VisionAI regarding the Service ("Feedback") shall become the sole property of VisionAI. You hereby assign to VisionAI all rights, title, and interest in and to such Feedback, and VisionAI may use Feedback for any purpose without obligation or compensation to you.

6 Your Data

You retain all ownership rights in any data, files, documents, or other content that you upload, submit, or transmit through the Service ("Your Data"). VisionAI does not claim ownership of Your Data.

By using the Service, you grant VisionAI a limited, non-exclusive license to access, process, store, and display Your Data solely for the purpose of providing and improving the Service. This license is limited to the technical operations necessary to deliver the features you use, such as running machine learning models on your datasets, generating analytics reports, and creating automated workflows.

VisionAI will not access, use, or disclose Your Data for purposes outside the scope of service delivery except: (a) with your explicit consent; (b) as required by applicable law, regulation, or valid legal process; or (c) to protect the rights, property, or safety of VisionAI, its users, or the public.

You are solely responsible for the legality, reliability, integrity, accuracy, and quality of Your Data. You represent and warrant that you have all necessary rights, consents, and permissions to upload and process Your Data through the Service, and that doing so does not violate any applicable law or the rights of any third party.

Upon termination of your account, you may request a copy of Your Data within 30 days. After this period, VisionAI may delete Your Data from active systems, though residual copies may remain in encrypted backup systems for a reasonable period as required by our data retention and disaster recovery procedures. 7 Payment Terms

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay VisionAI the fees applicable to your selected tier as displayed on our Pricing page at the time of purchase. All fees are stated in Euros (EUR) unless otherwise indicated and are exclusive of applicable taxes.

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Payment is processed through our third-party payment processor, and you authorize recurring charges to your designated payment method. You are responsible for providing accurate and up-to-date billing information.

If payment cannot be collected for any reason, we will notify you and may suspend access to paid features until the outstanding balance is resolved. Accounts with overdue payments for more than 14 days may have their access restricted to read-only mode.

Free trial periods, if offered, allow you to evaluate the Service before committing to a paid subscription. At the end of a free trial, your account will be downgraded to the free tier unless you actively select a paid plan. We will not charge your payment method without your explicit authorization at the end of any trial period.

Refunds are handled on a case-by-case basis. If you are unsatisfied with the Service within the first 14 days of a new paid subscription, you may request a refund by contacting our support team at [email protected]. Annual subscriptions cancelled after the first 14 days are not eligible for prorated refunds unless required by applicable law.

VisionAI reserves the right to change its pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' written notice. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

8 Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, VisionAI disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

VisionAI does not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not guarantee the accuracy, completeness, or reliability of any results, predictions, or insights generated by the platform's machine learning algorithms. The output of AI-driven analyses should be treated as decision-support tools and not as definitive recommendations. Users are responsible for validating results and exercising independent judgment before acting on platform-generated insights.

While we maintain a 99.7% uptime SLA for paid plans, we do not guarantee that the Service will meet your specific requirements or expectations in every scenario. Scheduled maintenance windows and unforeseen technical incidents may result in temporary service interruptions, and we will make commercially reasonable efforts to minimize downtime and communicate disruptions promptly.

VisionAI does not endorse, guarantee, or assume responsibility for any third-party product, service, or integration accessed through or in connection with the Service.

9 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall VisionAI Platform GmbH, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, regardless of whether such damages are based on contract, tort, negligence, strict liability, or any other legal theory, and even if VisionAI has been advised of the possibility of such damages.

VisionAI's total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Service shall not exceed the greater of: (a) the total amount you paid to VisionAI during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred Euros (EUR 100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full. In such jurisdictions, VisionAI's liability shall be limited to the maximum extent permitted by applicable law.

Nothing in these Terms shall exclude or limit VisionAI's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10 Indemnification

You agree to defend, indemnify, and hold harmless VisionAI Platform GmbH and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, rule, or regulation.
  • Your violation of any third-party right, including any intellectual property, privacy, or data protection right.
  • Any data you upload, transmit, or process through the Service.
  • Any claim that Your Data caused damage to a third party.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service. VisionAI reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

11 Third-Party Links and Services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by VisionAI. These links are provided for your convenience and informational purposes only. VisionAI has no control over, and assumes no responsibility for, the content, privacy policies, practices, or availability of any third-party websites or services.

Your use of third-party websites or services is governed by the terms and conditions and privacy policies of those third parties. We strongly advise you to read the terms and privacy policies of any third-party website or service you visit or use. VisionAI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services.

Integrations with third-party tools (such as databases, cloud storage providers, or business intelligence platforms) available through the VisionAI Integration Hub are provided to enhance your experience. While we test these integrations for compatibility, we do not guarantee their continued availability or functionality, as changes made by third-party providers are outside our control.

12 Privacy

Your privacy is important to us. Our collection, use, storage, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

The Privacy Policy explains what personal data we collect, how we process it, who we share it with, and your rights under the General Data Protection Regulation (GDPR) and other applicable data protection laws. We encourage you to review the Privacy Policy carefully and contact us at [email protected] with any questions about how your data is handled.

If you process personal data belonging to third parties through the Service (for example, customer records or employee data), you are the data controller for that information, and VisionAI acts as a data processor on your behalf. You are responsible for ensuring that you have a valid legal basis for processing such data and that your use of the Service complies with all applicable data protection regulations. A Data Processing Agreement (DPA) is available upon request for enterprise clients.

13 Termination

You may terminate your account at any time by accessing your account settings and selecting the option to delete your account, or by contacting our support team at [email protected]. Upon voluntary termination, your access to paid features will continue until the end of your current billing period, after which your account will revert to limited functionality.

VisionAI may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice or liability, for any reason, including but not limited to:

  • A breach of any provision of these Terms.
  • A request by law enforcement or a government agency.
  • Discontinuation or material modification of the Service.
  • Unexpected technical or security issues.
  • Extended periods of inactivity (accounts inactive for more than 12 consecutive months may be archived).
  • Non-payment of fees owed for paid plans after a 14-day grace period.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution procedures.

After account termination, you have 30 days to request an export of Your Data. Beyond this window, VisionAI is under no obligation to maintain or provide Your Data and may delete it from active systems, subject to our backup retention schedules and any legal obligations requiring continued storage.

14 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Berlin, Germany. You consent to the personal jurisdiction and venue of such courts and waive any objection to the convenience of such forum.

If you are a consumer residing in the European Union, you also retain the right to bring proceedings before the courts of your country of residence, and nothing in these Terms shall affect your statutory consumer rights under the laws of your country of habitual residence, to the extent those rights cannot be waived by agreement.

15 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, you and VisionAI agree to first attempt to resolve the dispute informally.

Either party may initiate the informal dispute resolution process by sending a written notice to the other party describing the nature and basis of the dispute and the specific relief sought. Both parties agree to negotiate in good faith for a period of at least 30 days from the date the notice is received. During this period, both parties will make reasonable efforts to resolve the dispute through direct communication.

If the dispute cannot be resolved through informal negotiation within the 30-day period, either party may pursue formal resolution. For business users, disputes shall be submitted to binding arbitration administered by the Deutsche Institution fur Schiedsgerichtsbarkeit (DIS) in accordance with its arbitration rules then in effect. The arbitration shall take place in Berlin, Germany, and shall be conducted in the English language. The arbitrator's decision shall be final and binding.

Consumer users residing in the European Union may also refer disputes to the European Commission's Online Dispute Resolution platform, accessible at the official ODR portal. We are not obligated to participate in alternative dispute resolution procedures before a consumer arbitration body, but we will evaluate such requests on a case-by-case basis in good faith.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

16 Changes to These Terms

VisionAI reserves the right to modify or replace these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, provide at least 14 days' advance notice before the new terms take effect.

Notice of changes may be provided through one or more of the following channels: an email sent to the address associated with your account, a prominent notice within the platform dashboard, or a banner on our website. We encourage you to review these Terms periodically for any changes.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your account. For paid subscribers, if you cancel due to a material adverse change in these Terms, you may be eligible for a prorated refund of any prepaid fees for the unused portion of your subscription, subject to our refund policy.

Previous versions of these Terms will be archived and made available upon request. We maintain a record of all substantive revisions and their effective dates to provide transparency about how our terms have evolved over time.

Summary

These Terms of Service, together with our Privacy Policy, form the complete agreement between you and VisionAI Platform GmbH regarding the use of our Service. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
